Concierge234 Vendor Agreement

This Vendor Agreement (“Agreement”) sets out the terms on which you (“Vendor”, “you”, “your”) list and provide your services and/or products through the Concierge234 online platform (the “Platform”) operated via this website (the “Site”) by or on behalf of Concierge234 (“Concierge234”, “we”, “us”, “our”) or its local operating entity.

By completing the vendor signup process, creating a listing, or accepting a booking or order through the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement.


1. Scope of the Agreement

1.1 Concierge234 Platform

Concierge234 operates a lifestyle concierge platform which connects Vendors to clients seeking services and products, including but not limited to:

  • Car hire and chauffeur services
  • Airport transfers and transport services
  • Accommodation and short-lets (apartments, villas, beach houses, etc.)
  • Tours, experiences, activities and events
  • Spa, grooming and wellness services
  • Concierge and lifestyle management services, including (but not limited to):
    • Errands and personal assistance
    • Restaurant and experience reservations
    • Bookings and day-to-day lifestyle coordination
    • Private chefs and in-home catering services
    • Personal shoppers and wardrobe/luxury shopping support
    • Senior-focused concierge support (companionship visits, escorted errands, appointment transport, wellness check-ins and daily living support where appropriate)
    • Pet-related concierge services (pet sitting, dog walking, feeding, basic care and coordination of grooming or vet visits)
  • Private charter services (e.g. private jets, helicopters, yachts, where available)
  • Classified and high-value listings (e.g. vehicles, property, luxury goods, art and similar items)

(collectively, the “Services”).

1.2 Relationship of the parties

You acknowledge and agree that:

  • Concierge234 acts as an intermediary and booking/transaction facilitator, not as the owner or direct provider of your Services or products.
  • You remain an independent contractor/vendor, responsible for the delivery, safety, legality and quality of your Services/products.
  • Nothing in this Agreement creates an employment, agency, partnership or joint venture relationship between you and Concierge234.

2. Commission, Fees & Pricing

2.1 Commission structure

For each booking or qualifying sale made through the Platform:

  • Concierge234 is entitled to a platform commission (a percentage of the total booking or sale value) as agreed in your vendor onboarding, listing agreement or Vendor dashboard.
  • Your Vendor share is the remaining percentage after the platform commission is deducted.

Unless a different rate is expressly agreed in writing, Concierge234’s total commission will not exceed twenty-five percent (25%) of the total amount paid by the customer for the relevant booking/sale.

2.2 Composition of platform commission

Concierge234’s commission may include:

  • A service/booking fee (for use of the Platform and for customer support and coordination),
  • A transaction/processing fee (for payment gateways, banking and related costs), and
  • A possible allocation to third-party affiliate partners or referring partners who helped generate the booking/sale.

Any affiliate or performance-based commission is paid from Concierge234’s share only and does not reduce your agreed Vendor share.

2.3 Pricing parity

To provide a fair and consistent customer experience:

  • You agree that the standard public price (rack rate) for your Services or products listed on Concierge234 will not be higher than the public pricing offered by you on your own website or other online platforms for the same dates, conditions and inclusions.
  • Where you run special promotions or discounts elsewhere, you will use reasonable efforts to ensure that Concierge234 is not materially disadvantaged for the same or equivalent offerings.

Concierge234 may suspend or remove listings, or review the partnership, if we discover persistent pricing inconsistencies or attempts to disadvantage Platform customers.


3. Payment Processing & Payouts

3.1 Customer payments

All payments for bookings and purchases made through the Platform will be processed by Concierge234 or its payment partners.

  • Customers pay Concierge234 (or our designated payment processor), not you directly, unless we have expressly agreed otherwise in writing.
  • Concierge234 collects the full amount from the customer, then pays your Vendor share after the deductions outlined in this Agreement.

3.2 Payout to Vendor

For each completed booking or qualifying sale:

  • Concierge234 will pay you the total amount received from the customer, less:
    • The agreed platform commission, and
    • Any applicable payment processing or bank charges.

Unless otherwise specified in your onboarding or Vendor dashboard:

  • Payouts will typically be made within a reasonable number of business days after:
    • The Service has been delivered in full or the sale completed, and
    • Any fraud or verification checks have been completed.

Payouts will generally be made in the same currency in which the customer paid, or in the settlement currency specified in your Vendor account, to the bank or payment details you provide.

3.3 Statements & reconciliation

Concierge234 will provide, via your Vendor dashboard or by other reasonable means:

  • Booking and sales records,
  • Amounts collected from customers for your Services/products,
  • Deductions for commission and fees, and
  • Net amounts payable to you.

You are responsible for reviewing these records regularly and notifying Concierge234 promptly of any errors or discrepancies.


4. Bookings, Availability & Cancellations

4.1 Booking process

  • Customers browse your listings and submit bookings or purchase requests through the Platform.
  • The Platform or our operations team will notify you of each confirmed booking/order by email, dashboard and/or agreed messaging channel.
  • You agree to honour all confirmed bookings and orders received through the Platform in accordance with the details communicated (dates, times, inclusions, quantities, etc.).

4.2 Availability & overbooking

You are responsible for:

  • Ensuring that your availability, inventory and capacity (vehicles, properties, appointments, concierge slots, chefs, shoppers, senior-care visits, pet-care slots, staff, etc.) are accurate and kept up to date.
  • Avoiding double-booking or overbooking your Services.

If overbooking occurs, you must notify Concierge234 immediately and work with us in good faith to resolve the issue, which may include sourcing an equivalent alternative or providing appropriate compensation/refund to the customer.

4.3 Cancellation policy (default)

Unless we specifically agree a different policy for your listings, the default cancellation policy for bookings made through the Platform is:

  • If a customer cancels 24 hours or more before the scheduled start date/time (or equivalent cut-off stated on the listing), and to the extent permitted by applicable law:
    • The customer may receive a 50% refund of the booking/reservation fee (where applicable), and
    • Concierge234’s service/booking fee portion is non-refundable.
  • If a customer cancels within 24 hours, on the day of the service, or fails to show:
    • No refund is due to the customer, unless required by applicable consumer law.

Certain categories (such as private charters, events, long-stay accommodations, complex concierge projects, senior-care visits, private chef experiences or high-value packages) may require stricter or different cancellation terms. Any such differences must be agreed with Concierge234 and clearly stated on your listing and in customer-facing descriptions.

4.4 Vendor-initiated cancellations

If you cancel a confirmed booking or fail to deliver a confirmed Service/order:

  • You may be required to refund any payments already made (where appropriate and in accordance with applicable consumer laws), and
  • Concierge234 may:
    • Issue refunds or credits to the customer,
    • Charge you for any additional costs we incur to resolve the situation, and/or
    • Adjust your Vendor status, reduce your visibility, or suspend/remove your listings, especially in cases of repeated cancellations or no-shows.

5. Vendor Obligations

5.1 Quality & service standards

You undertake to:

  • Provide Services/products that are safe, lawful, and of consistent, high quality.
  • Ensure vehicles, properties, equipment, treatment spaces, kitchens, concierge operations and any other facilities or tools are properly maintained, clean and fit for purpose.
  • For senior-focused services, ensure extra care, patience, dignity and respect, with particular attention to safety, accessibility and comfort.
  • For pet-related services, ensure humane, kind and appropriate care, in line with local animal welfare standards, and never expose animals to neglect, cruelty or unsafe environments.
  • For private chefs and personal shoppers, ensure professional conduct, hygiene, discretion and service at a level that matches the Concierge234 brand.
  • Deliver the Services/products as described in your listings and as confirmed to the customer.

5.2 Accurate information

You agree to:

  • Provide accurate, up-to-date and complete information for all listings, including descriptions, features, prices, photos, inclusions/exclusions, and any specific conditions or restrictions (e.g. senior-care limits, pet-size restrictions, special equipment needed).
  • Update your listings promptly when there are changes (e.g. renovations, downtime, changes in menus, shopping fees, capacity, service areas, or availability).

5.3 Legal compliance

You are solely responsible for complying with all applicable laws and regulations in the country or region where you operate and deliver your Services/products, including (where applicable and without limitation):

  • Consumer protection and fair trading laws
  • Data protection and privacy laws
  • Tourism, transport, aviation, health & safety and municipal/local regulations
  • Food safety, hygiene and catering regulations (for private chefs and in-home services)
  • Regulations and best practices applicable to senior care, assistance and support in your jurisdiction (to the extent you offer those services)
  • Animal welfare, pet-care and related regulations (to the extent you offer pet-related services)
  • Business, licensing and professional accreditation requirements
  • Labour and employment laws in relation to your own staff or contractors
  • Any other sector-specific laws related to your Services/products (including concierge, transport, accommodation, wellness, charter or luxury retail regulations)

You must hold and maintain all licences, permits, approvals and insurance required to provide your Services/products legally and safely, especially where working with seniors (as potentially vulnerable customers) and pets.

5.4 Taxes

  • You are responsible for determining and complying with your tax obligations in your jurisdiction, including but not limited to income taxes, sales taxes, VAT, GST or similar.
  • Where required by law, you must issue valid invoices or tax invoices to Concierge234 (or to customers via the Platform, if applicable) for your portion of the transaction.
  • Concierge234 is not responsible for calculating, withholding or paying taxes on your behalf.

5.5 Customer care & complaints

You agree to:

  • Treat customers professionally, courteously and without unfair discrimination.
  • Show particular sensitivity and care when dealing with seniors, their family members and pet owners, recognising that these Services often involve high trust.
  • Cooperate with Concierge234 to investigate and resolve customer complaints, disputes or refund requests, in line with applicable laws and this Agreement.
  • Take reasonable steps to avoid disputes through clear communication and proper service delivery.

6. Concierge234 Obligations

Concierge234 agrees to:

6.1 Platform & promotion

  • Provide and maintain the Platform to allow customers to discover and book Services/products from Vendors.
  • Undertake marketing and promotional activities at our discretion to attract customer interest to the Platform and its offerings.

6.2 Booking & payment management

  • Facilitate the flow of enquiries, bookings and confirmations between customers and Vendors.
  • Collect payments from customers for bookings/sales made through the Platform and disburse your Vendor share as set out in this Agreement.

6.3 Vendor tools

  • Provide Vendor access to a dashboard or similar interface where you can:
    • Manage listings, content and availability,
    • Monitor bookings/reservations,
    • View transaction and payout histories, and
    • Update your contact and banking details.

We may improve, update or change these tools from time to time.


7. Data Protection & Privacy

To the extent that you receive or handle any personal information relating to customers through or in connection with the Platform, you agree to:

  • Process such personal information in accordance with applicable data protection and privacy laws in your jurisdiction,
  • Use customer personal information only for legitimate purposes related to fulfilling the booking or sale,
  • Implement reasonable technical and organisational measures to protect customer data from loss, unauthorised access or misuse, and
  • Not sell, share or misuse customer data obtained through Concierge234 for unrelated marketing without proper consent where required by law.

Concierge234’s own collection and use of data is governed by our Privacy Policy on the Site.


8. Term, Suspension & Termination

8.1 Term

This Agreement becomes effective when you complete the vendor signup process or first accept a booking through the Platform and continues until terminated in accordance with this section.

8.2 Suspension

Concierge234 may, in its discretion, suspend your account, listings and/or payouts if:

  • We suspect fraud, abuse or unsafe practices,
  • We receive serious or repeated customer complaints about your Services,
  • You appear to be in breach of this Agreement or any applicable law, or
  • We reasonably need to investigate issues linked to your account.

8.3 Termination by either party

Either you or Concierge234 may terminate this Agreement at any time by:

  • Providing written notice, or
  • Deactivating/removing your listings from the Platform (in the case of the Vendor), or
  • Removing your Vendor account (in the case of Concierge234).

8.4 Effects of termination

Upon termination:

  • Your listings may be removed or hidden from the Platform.
  • You remain responsible for honouring any already confirmed bookings unless Concierge234 expressly agrees to cancel or transfer them.
  • Concierge234 will pay any legitimate, outstanding Vendor payouts relating to completed Qualifying Transactions, subject to any chargebacks, disputes or fraud investigations.

9. Limitation of Liability & Indemnity

9.1 Limitation of liability

To the fullest extent permitted by applicable law:

  • Concierge234 is not liable for any indirect, incidental, special or consequential damages, loss of profits, loss of revenue, or loss of reputation arising from or in connection with this Agreement or your use of the Platform.
  • Concierge234’s total aggregate liability for direct damages arising out of this Agreement shall not exceed the total commissions actually retained by Concierge234 from your bookings/sales on the Platform in the six (6) months preceding the event giving rise to the claim.

9.2 Indemnity

You agree to indemnify and hold harmless Concierge234, its directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:

  • Your breach of this Agreement or any applicable law;
  • Your Services/products, including any accidents, injuries, food safety issues, damage, non-performance or defects;
  • Any harm or loss arising in connection with services provided to seniors or pets due to your acts or omissions;
  • Any inaccurate, misleading or unlawful information you provide or publish via the Platform.

10. Governing Law & Dispute Resolution

10.1 Governing law

This Agreement and any dispute or claim arising out of or relating to it shall be governed by and construed in accordance with the laws of the country in which the Concierge234 entity operating this Site is incorporated, without giving effect to its conflict of laws rules, unless mandatory local law requires otherwise.

10.2 Dispute resolution

In the event of a dispute between you and Concierge234:

  1. The parties will first attempt to resolve the dispute in good faith through informal discussions and written communication.
  2. If the dispute cannot be resolved amicably within a reasonable period, it may be submitted to the competent courts in that country, which shall have jurisdiction, unless mandatory local law provides a different forum.

11. Entire Agreement & Changes

11.1 Entire agreement

This Agreement constitutes the entire agreement between you and Concierge234 regarding your use of the Platform as a Vendor and supersedes all previous agreements, understandings or arrangements (whether oral or written) relating to this subject matter.

11.2 Changes to this Agreement

Concierge234 may amend or update this Agreement from time to time. Any material changes will be published on the Site and may also be notified to you via email or your Vendor dashboard.

Your continued use of the Platform, or acceptance of new bookings, after the updated Agreement has been published will constitute your acceptance of the amended terms.


12. Acceptance

By completing the vendor signup process, creating or maintaining listings, or accepting bookings or orders through the Concierge234 Platform, you confirm that:

You have read and understood this Vendor Agreement; and

You agree to be bound by its terms and conditions.
